Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Sutro Software Inc, a Delaware corporation with offices at 66 Franklin Street, Suite 300, Oakland, California 94607 (“Sutro,” “we,” “us,” or “our”). These Terms govern your access to and use of the Sutro platform, including hosted backend infrastructure, APIs, generated backend systems, developer tooling, and related services (collectively, the “Services”).

By creating an account or using the Services, you agree to these Terms.

1. Definitions

“Account” means a registered account used to access the Services.
“Customer Data” means any data, content, prompts, or materials submitted to the Services.
“Generated Infrastructure” means backend systems, APIs, configurations, or outputs produced by the Services based on Customer input.
“Order Form” means any separate agreement describing pricing or enterprise terms.

2. Eligibility and Account Responsibilities

You must be legally capable of entering into a contract to use the Services. You are responsible for:

  • safeguarding login credentials

  • all activities under your Account

  • complying with applicable laws

You must notify us promptly of any unauthorized access.

3. Scope of Services

Sutro provides a hosted backend infrastructure platform that may include:

  • automatic API generation

  • backend architecture creation

  • authentication and authorization features

  • data storage and processing

  • developer tooling and integrations

The Services evolve continuously, and features may be added, modified, or removed.

4. License Grant

Subject to these Terms, Sutro grants you a limited, non-exclusive, revocable, non-transferable right to use the Services during the applicable subscription period.

You may not:

  • resell or sublicense the Services except as permitted

  • reverse engineer the platform except where legally allowed

  • interfere with platform integrity or security

5. Generated Infrastructure and Developer Responsibility

The Services may generate backend systems automatically.

You acknowledge that:

  • Generated Infrastructure is provided as a development aid.

  • You are responsible for testing, validating, and securing your applications.

  • Sutro does not guarantee Generated Infrastructure is error-free, compliant, or suitable for production use.

You remain responsible for how you deploy and operate your applications.

6. Customer Data and Privacy

You retain ownership of Customer Data.

You grant Sutro a limited license to host, process, and transmit Customer Data solely to provide, maintain, and improve the Services.

You represent that you have all rights necessary to provide Customer Data and that its use does not violate law or third-party rights.

7. Acceptable Use

You agree not to use the Services to:

  • violate applicable law

  • transmit malicious code

  • infringe intellectual property rights

  • access unauthorized systems

We may suspend access where use creates risk to the platform or other users.

8. Prohibited Data Categories

Unless explicitly agreed in writing, you may not use the Services to process:

  • protected health information under HIPAA

  • payment card data requiring PCI DSS compliance

  • sensitive regulated data subject to export restrictions

9. Fees, Billing, and Payment

Some features may be available under a free tier. Paid usage may be billed based on consumption or subscription.

You authorize Sutro or its payment processors to charge applicable fees. Fees are non-refundable except as required by law.

We may modify pricing with reasonable notice.

10. Third-Party Services

The Services may integrate with third-party providers. Sutro is not responsible for third-party services, which are governed by their own terms.

11. Beta Features

We may offer experimental or beta features. Beta features are provided “as is” and may be modified or discontinued at any time.

12. Intellectual Property

Sutro retains all rights to the Services and underlying technology.

You retain rights to your applications and Customer Data. Except for the rights expressly granted, no license is provided.

13. Feedback

Any feedback you provide may be used by Sutro without restriction or compensation.

14. Suspension and Termination

We may suspend or terminate access for breach, security risk, or legal compliance.

You may terminate your account at any time. Certain provisions survive termination.

15. Disclaimers

THE SERVICES ARE PROVIDED “AS IS.”
WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUTRO WILL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF:

  • FEES PAID BY YOU IN THE PRIOR 12 MONTHS

  • $100 USD

17. Indemnification

You agree to indemnify Sutro from claims arising from your applications, Customer Data, or misuse of the Services.

18. Export Controls

You agree not to use the Services in violation of export control or sanctions laws.

19. Governing Law and Disputes

These Terms are governed by California law.
Disputes will be resolved in California courts unless otherwise agreed.

20. Enterprise Agreements

If you enter into a separate enterprise agreement, that agreement will control in the event of conflict.

21. Changes to Terms

We may update these Terms periodically. Continued use constitutes acceptance of the updated Terms.
